Section 18: Requirement of disclosure in regard to conflict of interest

Where any proposal in which any member has a direct or indirect personal interest is to be discussed at the meeting of the Board, such a member shall give information as to such interest to the Board prior to the commencement of discussion on such matter. Except so permitted by the Board, such a member shall not be entitled to participate in the discussion and decision of such a matter and cast his or her vote thereon.

Provided that the presence of such a member shall be valid in order to constitute a quorum of the meeting.
